Lorem Ipsum has been the industry’s standard dummy text ever since the 1500s, when an unknown printer took a galley of type and scrambled it to make a type specimen book. It has survived not only five centuries, but also the leap into electronic typesetting, remaining essentially unchanged. It was popularised in the 1960s with the release of Letraset sheets containing Lorem Ipsum passages, and more recently with desktop publishing software like Aldus PageMaker including versions of Lorem Ipsum.

Drew Shagrin, a member of the bar of the State of California, practiced transactions law there for nearly a decade, rising to partner in a San Francisco law firm. He also spent ten years as an entrepreneur in France. Today Drew is a permanent faculty member at ESCP Business School, where he teaches and writes about issues at the intersection of business and law, with an emphasis on corporate governance. Drew is also a cofounder of the Institute for Corporate Governance.

What is Governance?

Corporate governance involves a set of relationships between a company’s management, its board, its shareholders and other stakeholders.

Corporate governance also provides the structure through which the objectives of a company are set, and the means of attaining those objectives and monitoring performance are determined.

Boardroom Simulation

What happens in a corporate board room nearly always stays in the board room, and interested outsiders don’t get to see how boards work in practice.  Tools that teach concepts of corporate governance can help a little, but if learners can’t apply the concepts in a real-world way to the workings of a corporate board, then they won’t really understand how boards work in practice.

We have a solution:  a free boardroom simulation that’s simply better than other simulations.  Learners simulate a company board meeting, then they compare their performance with that of experienced practitioners in the very same situation.

History of the ICG

The Institute for Corporate Governance (the ICG) emerged from the KPMG Professorship in International Corporate Governance at ESCP Business School.  That professorship, which supported research and teaching activities on the subject of corporate governance, expired in 2021.

At that time, the ICG was created by four professors of law at ESCP Business School: David Chekroun, who had been the scientific director of the KPMG Professorship in International Corporate Governance; and Gilles Pillet, Drew Shagrin, and Vincent Smith, all of whom had participated in the work of the professorship.
