This article examines the resilience of Delaware’s corporate law model in the face of increasing legal, economic, and political scrutiny. Despite recent turbulence—including challenges to its judicial system, ESG pressures, and federal intervention—the authors argue that Delaware’s unique combination of judicial expertise, institutional flexibility, and regulatory competition ensures its continued preeminence in U.S. corporate governance.
